rattle/clicking noise when shifting and whine

this is probably a long shot but i was hoping to get some help with an issues ive been having. I think I have posted about this before, but i have a 2.5 that is making some strange noises. When changing gears and engaging the clutch there is a slight clicking noise or rattle that happens, and in second gear and third there is a slight whine that gets higher pitched as the car accelerates. It also feels like it lags a bit when engaging second gear and doesn't shift as smooth (makes whine noise and jolts small amount). It is possible to make a smooth shift from first to second but I need to release the clutch slow and give it gas. It shifts very smooth in every other gear and will shift smooth to second sometimes as-well. second is the only gear this happens in. I was thinking this could be the start of a bad release or throwout bearing because the clutch feels good. I changed the transmission fluid and the problem is still happening. My questions are (1) what do you think the issue is (2) because it drives decent as is, is it ok to still drive it, and (3) how much does a throwout, release, or clutch replacement cost.

is there any difference between up shift and down shift...is it the same both ways ?..

No, not really the whine noise happens in second on acceleration and the noise is mainly there when the clutch is engaged.

Are you talking about a Z3 here? Throwout, tells me you are in the US? What mileage does the car have on it?
I'm leaning towards it sounds like it's due for a new clutch assembly as you wouldn't remove a gearbox and fit just a release bearing.

Sounds like the thrust bearing to me, exactly how my M sounded before the ZedShed did the clutch refurb, the bearing was toast.
